These terms govern your use of this website and, together with a written proposal or engagement agreement, the services provided by Zegaware Ltd ("Zegaware", "we", "us"), registered in England and Wales under company number 12552942. Registered office: 18 St Cross Street, London EC1N 8UN, United Kingdom. By using the website or placing an order you accept these terms. Where a signed engagement agreement exists, it takes precedence over this page.
Definitions
Client: the company or individual requesting services from Zegaware. Brief: the project requirements and details given in writing by the Client. Engagement: any audit, development, support or other service agreed in writing.
Use of the website
You may browse, link to and quote briefly from this website. You may not copy substantial parts of its content, scrape it at scale, attempt to breach its security, or use it in a way that damages our service or misrepresents us.
Content and accuracy
The content of this website is provided for general information. Statistics quoted are drawn from third-party research and were accurate to the best of our knowledge when published; sources are noted where they appear. Service descriptions and any prices shown are indicative and do not form an offer. Scope and price for any engagement are confirmed in a written proposal before work begins.
Orders and engagements
Zegaware carries out work only against a written order or signed proposal, and only for Clients aged 18 or over. Where a project requires material or input from the Client, it is the Client's responsibility to provide it in time for the project to be completed to the agreed standard and deadline. Additions to the Brief are carried out at Zegaware's discretion; where no charge is made for an addition, Zegaware does not warrant it error free and reserves the right to charge for corrections or further additions.
Audits and reports
An audit report, readiness score or sign-off reflects the state of the reviewed code at the time of review, within the agreed scope. It is a professional assessment, not a guarantee that the software is free of all defects or vulnerabilities, and it does not transfer responsibility for the Client's product to Zegaware. Changes made to the code after a review are outside its scope unless a re-audit is agreed.
Intellectual property
The Zegaware name, logo and the content of this website belong to Zegaware Ltd or its licensors. Code, designs and other deliverables produced under an engagement remain the property of Zegaware until all outstanding accounts are paid in full, after which ownership or licensing passes as set out in the engagement agreement. Unless specifically agreed otherwise, software written by Zegaware remains the copyright of Zegaware and may be commercially reproduced or resold only with permission. Zegaware is not responsible for copyright infringement caused by materials submitted by the Client, and may refuse material of a copyrighted nature unless adequate proof of permission is given.
Testing and acceptance
Every endeavour is made to ensure deliverables are free of errors, but the Client is expected to test any application fully before using it in a production environment. For larger applications, the Client is responsible for providing a testing environment that matches production. Where bugs or errors are found after the Client has signed off and gone live, Zegaware will endeavour to correct them to the standard outlined in the Brief and will advise of any additional cost, but is not obliged to do so. Where work is carried out on servers not provided by Zegaware, the Client is expected to provide the access, information and cooperation needed for the work to be completed correctly.
Compatibility
Zegaware will endeavour to ensure that websites and applications function correctly on the server they are initially installed on and in current versions of the major web browsers. No guarantee is offered for every browser or browsing software. Problems caused by the Client's own non-standard software, settings or hardware (including plugins, blockers, security software and firewalls) are beyond Zegaware's control, and it falls to the Client to ensure their systems meet the requirements of the delivered product.
Hosting and third-party services
Where Zegaware arranges hosting or domain services, no guarantee is made as to uninterrupted availability, and Zegaware accepts no liability for losses caused by the unavailability or malfunction of those services. Zegaware may refuse to handle material that is offensive, illegal or controversial. Fees for hosting and domain names are payable in advance of the expiry of the existing service; if fees remain unpaid at expiry, the service is cancelled and data held within it may be removed. Reinstating a cancelled service requires a setup fee, and data lost as a result of cancellation will not necessarily be recoverable.
Payments
A deposit is required before work begins, and the amount is confirmed in the written proposal; deposits are non-refundable. Costs incurred by Zegaware on behalf of the Client are payable in advance and are non-refundable. Invoices are payable in full within 7 days of the invoice date unless agreed otherwise in advance. If an account is not settled and Zegaware has not been contacted about the delay, access to related websites or services may be suspended. Zegaware reserves the right to require full payment before releasing project files, designs, domain names or hosting.
Promotional offers
Promotional prices for one-off products or features assume a general set of requirements; custom requirements may increase the price. Promotional prices for subscription services apply for the first three months from purchase, after which the standard price applies unless the promotion is extended.
Maintenance and support
Development work is not covered by maintenance and support subscriptions. Where an update to a third-party component causes a fault, Zegaware will follow its standard troubleshooting procedures to resolve it; if the fault cannot be resolved without development work, the Client will be advised of the scope and cost before that work begins. Full terms for maintenance and support are set out in the service contract.
Publicity
Zegaware may identify the Client as a customer, by name or mark, on its website and marketing materials. Beyond that, neither party may use the other party's name or marks without written approval, which neither party will unreasonably withhold or delay.
Liability
We accept liability where the law does not allow us to exclude it, including for fraud and for death or personal injury caused by negligence. Subject to that, Zegaware is not liable for costs, compensation or loss of earnings arising from delays in meeting agreed deadlines, from work carried out on behalf of the Client or the Client's appointed agents, or from the unavailability of websites, servers, software or material provided by partners or agents. Nothing on this website constitutes professional advice for your specific situation.

Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
